Terms of Service

This website, gxstudios.com (the "Site"), is operated by GX Studios Inc., a company incorporated in California, United States ("GX Studios," "we," "us"). References to the "Group" include our wholly-owned subsidiary Vimplay and its catalog.

These Terms govern your access to and use of the Site, including game demonstrations, downloadable brand assets, forms, and content. They do not govern the commercial supply of games or related services to operators, which is governed exclusively by separate written agreements between GX Studios (or its subsidiaries) and the relevant counterparty. If there is any conflict between these Terms and such an agreement, the agreement prevails for its subject matter.

By using the Site you accept these Terms. If you do not accept them, do not use the Site.

The Site is directed at businesses and professionals in the gaming industry - operators, platforms, aggregators, affiliates, media, and prospective employees. It is not directed at consumers or the general public, and nothing on the Site is an offer of gambling services.

You must be at least 18 years old (or the age of majority where you live, if higher) to use the Site. The Site and its demos are not intended for, and must not be used by, minors.

No real-money wagering takes place on the Site. Game demonstrations are free-play, use no real money, pay no winnings, and exist solely so business audiences can evaluate our products. Demo outcomes, features, and availability are illustrative, may differ by market and configuration, and are subject to change without notice. Access to demos may be restricted, suspended, or withdrawn at any time.

When using game demonstrations you must not: (a) attempt to reverse engineer, decompile, extract, or copy game logic, mathematics, source code, or assets; (b) frame, embed, mirror, or redistribute demos or demo sessions; (c) use automated tools to access, record, or scrape demos; or (d) misrepresent demo play as real-money gambling in any promotion or publication.

The Site and everything on it - including game titles, artwork, video, text, logos, trademarks (including "GX Studios," the GX mark, "Vimplay," and the VP mark), page designs, and software - are owned by GX Studios, its Group companies, or their licensors, and are protected by intellectual-property laws. Except as expressly permitted in Section 6, no license or right is granted to you, and you may not copy, modify, distribute, or create derivative works from Site content.

Partner and third-party names and logos appearing on the Site belong to their respective owners and appear with permission; their appearance does not grant you any right to use them.

Through our Studio Assets page we make certain logos, colors, and guidelines ("Brand Assets") available to bona fide partners, operators, affiliates, and media. We grant you a limited, revocable, non-exclusive, non-transferable license to use Brand Assets solely to accurately identify or reference GX Studios or Vimplay, and only in accordance with the published brand guidelines. You must not: alter, distort, or recolor Brand Assets; use them in a way that implies endorsement, partnership, certification, or licensure that does not exist; use them in connection with unlawful content or in any consumer-facing gambling promotion that violates applicable law or advertising standards; or register or use any confusingly similar mark or domain. We may revoke this license at any time, and you must promptly cease use on notice.

Information you submit through Site forms must be accurate, must relate to you or an organization you are authorized to represent, and must not include another person's personal data without authority. By submitting an event to our events calendar you confirm the information is accurate and that you are authorized to submit it, and you grant us a non-exclusive, royalty-free right to display and edit the listing. Our events calendar is provided for convenience; event details are supplied by organizers and public sources, may change, and are not verified by us - always confirm details with the organizer. Listing an event does not imply our attendance, sponsorship, or endorsement unless expressly stated.

Access to the operator client area is limited to authorized personnel of contracted partners. Credentials are personal to the partner, must be kept confidential, and may be suspended or revoked at our discretion. Use of the client area may be subject to additional terms presented within it or in your commercial agreement.

You must not: interfere with the Site's operation or security; probe, scan, or test vulnerabilities; introduce malicious code; scrape or harvest content or data at scale; misuse forms (including bulk, automated, or deceptive submissions); or use the Site for any unlawful purpose.

The Site links to and integrates third-party services (for example, event organizers' websites and our scheduling provider). Those services have their own terms and privacy practices, which we do not control and are not responsible for.

Content on the Site, including the Insights blog and the events calendar, is provided for general information. It is not legal, regulatory, financial, or professional advice, and you should not rely on it as such. Markets and regulations change; verify anything material with your own advisors.

The Site and all content and demos are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the maximum extent permitted by law.

To the maximum extent permitted by law, GX Studios and its Group companies will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Site or these Terms. To the same extent, our total aggregate liability arising out of or relating to the Site is limited to one hundred US dollars (US $100). Nothing in these Terms excludes liability that cannot be excluded by law. Liability relating to commercial game supply is addressed exclusively in the applicable commercial agreement.

You will indemnify and hold harmless GX Studios and its Group companies from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site or Brand Assets.

We may update these Terms, and change, suspend, or discontinue any part of the Site, at any time. The "Last updated" date shows the current version; continued use after changes means acceptance. We may restrict or terminate access for breach.

These Terms are governed by the laws of California, United States, without regard to conflict-of-laws rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over disputes relating to the Site or these Terms, and each party consents to that venue.
